A COMPREHENSIVE APPROACH
Attend this proactive seminar and receive a thorough overview of commercial lending requirements from a “loan” structure, documentation, and compliance perspective.
Basic “business” structure will be presented along with loan “structure” and loan “support.” Additionally, “commercial” lending issues relative to loan documentation will be reviewed. “Loan pricing” and “monitoring” will also be covered along with a review of current compliance issues.
The seminar will be summarized through a comprehensive case study.
COURSE OBJECTIVES
1) Review Basic “business” Structure: C Corporations to LLC’s
2) Explore the Six (6) Elements of Loan Structure: Loan Purpose, Sources of Repayment, Adequate Amount, Appropriate Term, Adequate Support, Framework for Monitoring
3) Summarize the Four (4) Elements of Loan Support: Collateral, Guaranties, Business Loan Agreements, Subordination Agreements
4) Highlight “commercial” Loan Documentation issues including promissory notes, security agreements, and guaranties along with the use of the BSA Loan Rating, Collateral Rating, and C&I Borrower Rating Matrixes
5) Discuss Loan Pricing and Monitoring Issues
6) Review current compliance issues: Equal Credit Opportunity Act (Reg B), Bank Secrecy Act (BSA), Fair Credit Reporting Act (FCRA), Fair Debt Collection Practices Act, and UCC Article 9
7) Analyze comprehensive Loan Structure/Documentation/Compliance Case Study

HOW TO CRAFT AN EFFECTIVE COMMERCIAL LOAN WRITE-UP AND LOAN COMMITTEE PRESENTATION SKILL TRAINING
Part 1:
The first part of the seminar will cover the basics of how to craft an effective commercial loan write-up.
This section will begin with a brief overview of loan write-ups or credit memorandums including types, styles, and necessary component parts (relationship information, financial analysis, management review, and risk assessment/mitigation).
The financial analysis section will highlight “liquidity, activity, leverage, operating performance, and cash flow analysis.” This will also include the Altman Z-Score (bankruptcy predictor).
The session will also cover additional important loan write-up items including assessing the company’s strategic plan- “marketing, financing, and management.”
Three “standard” commercial loan write-ups will be presented to illustrate the concepts.

Part 2:
The second part of the seminar will review loan committee presentation skill building techniques that include the “do’s & don’ts” of loan committee, “reading” the personalities of the committee members, understanding the difference between an “outside” versus “inside” committee member, and exploring “group dynamics.”
Additionally, “tips and techniques” will be displayed on how to make a clear, concise, and motivating presentation and overcome the “fear” and “intimidation” factor.
This section will also cover the “supporting” disciplines of negotiation skill building, communications, and “personal” marketing.
The presentation concepts will be reinforced through case studies.
